The $1-billion transaction, including debt, is also expected to see the Indigenous coalition hold Clearwater’s Canadian fishing licences within a fully Mi’kmaq owned partnership.<\/p>\n

Membertou First Nation Chief Terry Paul says the deal is a significant achievement for the Mi’kmaq, noting that it will transform their participation in the commercial fishing sector.<\/p>\n

Ian Smith, president and CEO of Clearwater, says the acquisition will allow the Halifax-based seafood company to continue to grow while preserving its culture and community presence.<\/p>\n

Clearwater Seafoods Incorporated (“Clearwater<\/span><\/b>” or the “Company<\/b>“) (TSX:\u00a0CLR<\/a>) announceD today (Jan, 25, 2021) that, pursuant to the previously announced plan of arrangement pursuant to the Canada Business Corporations Act\u00a0<\/i>(the “Arrangement<\/b>“), Premium Brands Holdings Corporation (TSX:\u00a0PBH<\/a>) and FNC Holdings Limited Partnership, representing a coalition of Mi’kmaq First Nations, acting through a wholly-owned subsidiary, 12385104 Canada Inc., have indirectly acquired all of the issued and outstanding common shares of Clearwater (“Shares<\/b>“) effective today at a price of\u00a0C$8.25<\/span>\u00a0per Share.<\/p>\n

Pursuant to the Arrangement, a holder of Shares, deferred stock units (“DSUs<\/b>“), directors performance share units (“DPSUs<\/b>“) or performance share units (“PSUs<\/b>“) is entitled to receive\u00a0C$8.25<\/span>\u00a0for each Share, DSU, DPSU and PSU owned immediately prior to the closing of the Arrangement.<\/p>\n

A detailed description of the Arrangement is set forth in\u00a0Clearwater’s<\/span>\u00a0management information circular dated\u00a0December 3, 2020<\/span>\u00a0(the “Circular<\/b>“). Shareholders can obtain a copy of the Circular as filed with applicable Canadian securities regulatory authorities on SEDAR at\u00a0www.sedar.com<\/a>. \u00a0A Letter of Transmittal was mailed to registered shareholders of\u00a0Clearwater<\/span>\u00a0(“Shareholders<\/b>“) along with the Circular and is also available on SEDAR at\u00a0www.sedar.com<\/a>. The Letter of Transmittal explains how Shareholders can deposit and obtain payment for their Shares. Shareholders must return their duly completed Letter of Transmittal to the depositary, Computershare Trust Company of\u00a0Canada<\/span>, in order to receive the consideration to which they are entitled for their Shares. Non-registered shareholders who hold Shares in brokerage accounts or with other financial intermediaries should carefully follow the instructions from any brokers or other financial intermediaries that hold Shares on their behalf.<\/p>\n

Clearwater<\/span>\u00a0intends to apply to cease to be a reporting issuer under applicable securities laws. Shares are expected to be delisted from trading on the Toronto Stock Exchange (the “TSX<\/b>“) on or about the close of business on\u00a0January 26, 2021<\/span>.<\/p>\n

The completion of the Arrangement satisfies the condition precedent to the conditional full redemption (the “Redemption<\/b>“) of the Company’s outstanding 6.875% Senior Notes due 2025 (the “Notes<\/b>“).\u00a0 The redemption of the Notes will occur on\u00a0February 12, 2021<\/span>\u00a0(the “Redemption Date<\/b>“). As previously announced, the redemption price per\u00a0USD$1,000<\/span>\u00a0principal amount of Notes is\u00a0USD$1,051.56<\/span>\u00a0plus<\/i>\u00a0accrued and unpaid interest from\u00a0November 1, 2020<\/span>\u00a0to, but not including, the Redemption Date, or a total of approximately\u00a0USD$1,070.85<\/span>\u00a0per\u00a0USD$1,000<\/span>\u00a0principal amount of Notes.<\/p>\n

Payment on the Notes will be made by the Company on the business day preceding the Redemption Date by credit to the account of Wilmington Trust, National Association, as paying agent (the “Paying Agent<\/b>“) for the Notes.
